Whiting Petroleum Corporation has received notification of early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 relating to Whiting's proposed acquisition of Kodiak Oil & Gas Corp. ('Kodiak'), thereby satisfying a condition to the closing of the transaction.
As previously announced on July 13, 2014, Whiting and Kodiak entered into a definitive agreement pursuant to which Whiting will acquire Kodiak in an all-stock transaction valued at $6.0 billion. The transaction is expected to close in the fourth quarter of 2014, subject to the approval of both Whiting and Kodiak shareholders and certain court approvals and customary conditions.
